Terms and conditions

This version provides a clear base for TORFIX services and sales. It should be aligned with your real pricing, notice periods and delivery rules before being used as a final contractual text.

Scope

TORFIX provides website design, hosting, maintenance, online booking, automation, client management, AI support, logo creation and broader digital assistance depending on the selected service plan.

Application

These terms apply to every enquiry, quote, order or collaboration entered into with TORFIX unless another written agreement expressly states otherwise. They complement the quote or commercial proposal sent to the client.

Acceptance

Written approval of a quote or proposal, payment of a deposit or confirmation to begin the project constitutes acceptance of these terms.

Orders, pricing and payment
Quotes and offers

Prices, options and service scope are defined in the quote or proposal sent to the client. Unless stated otherwise, each offer remains valid for [period to complete].

Payment terms

Payments may take the form of an initial deposit, a one-off payment or a recurring monthly fee depending on the selected plan. Exact timing should be stated in the quote and invoices.

Late payment

In case of late payment, TORFIX may suspend further work, go-live actions, renewals or optional services until the balance is settled, without prejudice to other remedies available by law.

Project delivery
Client cooperation

The client must provide within a reasonable time the information, copy, visuals, access details, approvals and feedback required for the project to move forward. Significant client-side delays may extend delivery timelines.

Delivery timing

Any delivery estimate is indicative and depends notably on the client's responsiveness, the availability of content and the required validation steps. TORFIX aims to follow a reasonable schedule but does not guarantee a fixed launch date unless stated in writing.

Additional requests

Any request outside the initially approved scope may lead to an extra quote, a timeline update or a service-plan adjustment.

Recurring services, liability and ownership
Recurring services

Where the offer includes hosting, maintenance, third-party tools or ongoing support, renewal, notice and cancellation terms must be detailed in the commercial proposal. Complete your actual notice period here: [for example 30 days].

Liability

TORFIX is bound by an obligation of means, not a guarantee of commercial results. TORFIX cannot be held liable for misuse of the website by the client, third-party service failure, network outages, client-provided content or indirect damages such as lost opportunity or loss of revenue.

Intellectual property

Unless stated otherwise, TORFIX retains ownership of its methods, mockups, components, scripts, templates and internal tools. The client's rights of use over the delivered website depend on what is expressly stated in the quote. Complete this section if you want to define transfer or licensing more precisely.

Disputes
Complaints

Any dispute should first be raised in writing with TORFIX so that an amicable solution can be explored.

Applicable law

Contractual relations are governed by Belgian law, unless mandatory provisions require otherwise.

Jurisdiction

If no amicable solution is reached, disputes will be submitted to the competent courts according to the parties' status and the legal rules in force. You may also add a venue clause here if it matches your business setup.
